Please read these terms carefully before engaging our services or using this website. By accessing synapsestorm.com or entering into a service agreement with Synapse Storm LLC, you agree to the terms outlined below.

1. Acceptance of Terms

By accessing or using the website located at synapsestorm.com (the "Site"), or by engaging Synapse Storm LLC ("Synapse Storm," "we," "us," or "our") for any consulting or professional services, you ("Client," "you," or "your") agree to be bound by these Terms of Use and Privacy Policy (collectively, the "Terms"). If you do not agree to these Terms, please do not use this Site or engage our services.

Synapse Storm LLC is a Utah limited liability company with its principal place of business in Sandy, Utah. These Terms constitute a binding legal agreement between you and Synapse Storm LLC.

2. Services & Engagements

2.1 Nature of Services

Synapse Storm provides fractional CTO/CIO consulting, technical audits, process reviews, AI integration guidance, project management, vendor accountability, and related professional services. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work ("SOW"), Service Agreement, or engagement letter executed between the parties.

Nothing on this website constitutes a binding offer to provide services. All engagements are subject to mutual agreement, availability, and execution of a formal service agreement.

2.2 Client Responsibilities

To enable effective service delivery, Clients agree to:

  • Provide accurate, complete, and timely information as reasonably requested
  • Grant appropriate access to systems, personnel, vendors, and documentation necessary for the engagement
  • Designate a primary point of contact with authority to make decisions
  • Respond to requests, approvals, and feedback within agreed timelines
  • Ensure that all information provided does not infringe the rights of any third party

Synapse Storm shall not be responsible for delays or deficiencies in services caused by a Client's failure to fulfill these responsibilities.

2.3 Fees & Payment

Service fees, payment schedules, and invoicing terms are defined in each individual engagement agreement. Unless otherwise agreed in writing, invoices are due within fifteen (15) days of issuance. Synapse Storm reserves the right to suspend services on accounts with outstanding balances beyond thirty (30) days past due.

2.4 Independent Contractor

Synapse Storm operates as an independent contractor. Nothing in these Terms or any engagement agreement creates an employment relationship, partnership, joint venture, or agency relationship between Synapse Storm and the Client. Synapse Storm retains the right to engage other clients and perform other services, subject to any confidentiality obligations in effect.

3. Intellectual Property

3.1 Client-Owned Work Product

Unless otherwise specified in a written engagement agreement, work product created specifically for a Client and fully paid for by that Client will be licensed to the Client upon receipt of final payment. "Work product" means deliverables uniquely created for the engagement, such as custom documentation, audit reports, and process designs. We however retain the ownership of our methods, processes, templates and formulas for the creation of these assets.

3.2 Synapse Storm Pre-Existing IP

Synapse Storm retains all rights to its pre-existing intellectual property, including but not limited to methodologies, frameworks, templates, tools, code libraries, and any general knowledge or know-how developed independent of a specific client engagement. Nothing in an engagement agreement transfers ownership of pre-existing Synapse Storm IP to a Client.

3.3 Site Content

All content on this Site, including text, graphics, logos, images, and software, is the property of Synapse Storm LLC or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without express written permission.

4. Confidentiality

Both parties acknowledge that in the course of an engagement, each may receive access to confidential business information, trade secrets, technical data, customer information, and other proprietary information belonging to the other party ("Confidential Information").

Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to third parties without prior written consent; and (c) use Confidential Information solely for the purpose of the applicable engagement. These confidentiality obligations survive the termination of any engagement for a period of three (3) years, or indefinitely with respect to trade secrets.

Confidentiality obligations do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was rightfully known to the receiving party prior to disclosure; or (iii) is required to be disclosed by law or court order, provided that the disclosing party provides prompt written notice where legally permissible.

5. Disclaimers

This Site and all content herein are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Synapse Storm does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Information on this Site is provided for general informational purposes and does not constitute legal, financial, accounting, or other professional advice. You should consult qualified professionals before making decisions based on information found on this Site.

Consulting recommendations provided by Synapse Storm represent professional judgment based on information available at the time of the engagement. Synapse Storm does not guarantee specific business outcomes, revenue results, cost savings, or technical performance from its recommendations or services.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Synapse Storm LLC, its members, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill, arising out of or in connection with the use of this Site or our services, even if advised of the possibility of such damages.

Synapse Storm's total cumulative liability to any Client for any and all claims arising out of or related to an engagement shall not exceed the total fees paid by that Client to Synapse Storm in the three (3) months immediately preceding the event giving rise to the claim.

7. Governing Law & Dispute Resolution

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and the parties hereby consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve any dispute through direct negotiation. If direct negotiation fails after thirty (30) days, the parties agree to attempt non-binding mediation before pursuing litigation.

7.1 Changes to Terms

Synapse Storm reserves the right to modify these Terms at any time. Changes will be posted to this page with an updated effective date. Continued use of this Site or our services following the posting of changes constitutes acceptance of those changes. We encourage you to review these Terms periodically.

Contact form submissions are retained for up to two (2) years. Client engagement records are retained for seven (7) years in accordance with standard business record-keeping practices.
